AGREEMENT OVERVIEW
These Terms and Conditions ("Agreement") govern your use of Vault by PureSpace, a professional clothing storage program that includes mandatory pre-storage cleaning and optional insurance coverage. By enrolling in the Vault Program, scheduling a pickup, or permitting PureSpace personnel to take possession of your garments or textile items, you ("Client," "you," or "your") agree to be bound by this Agreement in its entirety.
READ CAREFULLY. This Agreement contains important provisions regarding mandatory cleaning, a two-tier liability structure that depends on whether you have elected Storage Insurance Coverage, per-item valuation limits, a claims process, and binding arbitration. Your liability protection is significantly limited if you do not elect Storage Insurance Coverage.
SECTION 1 — DEFINITIONS
1.1 "Vault Program" or "Vault" means the professional clothing storage service operated by AAO Hospitality, Inc. (dba PureSpace), which includes mandatory pre-storage cleaning and optional insured storage.
1.2 "Garments" means clothing, apparel, and textile items accepted by PureSpace under this Agreement.
1.3 "Mandatory Cleaning" means the professional cleaning service performed by PureSpace on all Garments prior to storage, which is a non-waivable condition of participation in the Vault Program.
1.4 "Storage Period" means the period between completed Intake and Return during which PureSpace maintains custody of your cleaned Garments.
1.5 "Intake" means the moment PureSpace personnel take physical possession of your Garments, which triggers the Mandatory Cleaning process.
1.6 "Return" means the redelivery or retrieval of stored Garments to or by the Client.
1.7 "Intake Record" means documentation created at Intake, including item inventory, condition photographs, and any noted pre-existing conditions, created before and after Mandatory Cleaning.
1.8 "Storage Insurance Coverage" means the optional insurance add-on available for $72.00 per month, which provides up to $10,000 in aggregate coverage per Client account per enrollment period. This coverage must be elected at or before the time of Intake for it to apply.
1.9 "Declared Value" means the replacement value of a Garment as declared in writing by the Client at Intake.
1.10 "Coverage Limit" means the maximum aggregate payout under Storage Insurance Coverage, which is $10,000 per Client account per enrollment period, subject to the terms of this Agreement and the underlying policy.
1.11 "Uninsured Account" means a Client account for which Storage Insurance Coverage has not been elected and is currently active.
1.12 "Excluded Items" has the meaning set forth in Section 7.
1.13 "Claim" means a written request for compensation for loss or damage to Garments while in PureSpace's care, custody, or control.
1.14 "Care Label" means the manufacturer-affixed cleaning and care instruction label on a Garment.
SECTION 2 — ENROLLMENT AND ACCOUNT
2.1 Eligibility. Vault is available to residential and commercial clients within PureSpace's active service areas. PureSpace reserves the right to decline enrollment at its sole discretion.
2.2 Account Accuracy. You agree to provide accurate, current, and complete enrollment information and to promptly update it as needed.
2.3 Authorized Representatives. If enrolling on behalf of a building, property management company, employer, or other entity, you represent that you have authority to bind that entity to this Agreement.
2.4 One Account Per Client. Storage Insurance Coverage limits apply per enrolled account. Creating multiple accounts for the same Client to circumvent coverage limits is prohibited and constitutes grounds for immediate termination and denial of all Claims.
2.5 Insurance Election. Storage Insurance Coverage must be affirmatively elected at the time of enrollment or prior to Intake. Insurance coverage cannot be added retroactively after Intake has occurred or after a loss has been identified. PureSpace will not accept a request to add coverage after a loss event, even if that loss has not yet been reported.
SECTION 3 — MANDATORY CLEANING
3.1 Cleaning is Required. All Garments accepted into the Vault Program must be professionally cleaned by PureSpace before storage. This is a non-negotiable condition of service. PureSpace will not store Garments that have not been cleaned by PureSpace under this program. Clients may not substitute outside cleaning services.
3.2 Purpose of Mandatory Cleaning. Cleaning prior to storage prevents fiber deterioration, odor development, pest attraction, cross-contamination of other clients' garments, and mold or mildew growth during extended storage periods.
3.3 Cleaning Fee. The cleaning fee is either included in the Vault Program pricing or listed separately in your service agreement. The cleaning fee is non-refundable once cleaning has commenced.
3.4 Care Label Compliance. PureSpace will follow the manufacturer's Care Label instructions on each Garment. Where a Care Label is missing, illegible, or conflicts with the Garment's apparent composition, PureSpace will use professional judgment. PureSpace is not liable for damage resulting from a missing, incorrect, or misleading Care Label.
3.5 Client Disclosure Obligation. Prior to Intake, the Client must disclose in writing: any known fabric sensitivities or prior cleaning issues; any Garments that have been previously dry-cleaned using specialty or non-standard methods; any Garments with embellishments, beading, glued components, or materials that require special handling; and any Garments that have failed or experienced issues with standard cleaning in the past.
3.6 Undisclosed Sensitivities. PureSpace bears no liability for damage to Garments arising from cleaning-related issues that the Client knew of and failed to disclose at Intake.
3.7 Right to Decline After Assessment. If, upon assessment prior to cleaning, PureSpace determines in its professional judgment that a Garment cannot be safely cleaned without unacceptable risk of damage, PureSpace will notify the Client and return the Garment without cleaning. Such Garments cannot be stored under the Vault Program.
3.8 Cleaning Documentation. PureSpace will photograph Garments before and after cleaning. Post-cleaning photographs form part of the Intake Record and represent the condition in which Garments enter storage.
3.9 Cleaning Liability Separate from Storage Liability. Damage that occurs during the Mandatory Cleaning process is governed by this Section and the liability limits in Section 10. Damage that occurs during the Storage Period is governed by Section 8. In both cases, Client's recovery is subject to whether Storage Insurance Coverage is active.
3.10 Chemicals and Allergens. PureSpace uses professional-grade cleaning products. PureSpace is not liable for any allergic reactions, chemical sensitivities, or health effects experienced by the Client or any third party upon Return of cleaned Garments where such reactions are attributable to standard commercial cleaning products used in accordance with garment Care Labels.
SECTION 4 — INTAKE PROCESS AND CONDITION DOCUMENTATION
4.1 Intake Record. PureSpace will create an Intake Record at the time of each pickup, documenting the items received and their visible pre-cleaning condition, including photographs.
4.2 Post-Cleaning Documentation. Following Mandatory Cleaning and prior to storage, PureSpace will photograph each Garment again. The post-cleaning photograph represents the Garment's condition at the start of the Storage Period and is the operative baseline for any storage-related Claim.
4.3 Pre-Existing Condition. PureSpace is not liable for damage, defects, wear, staining, fading, shrinkage, color loss, or deterioration that was present prior to or at the time of Intake, or that resulted from pre-existing conditions that could not have been improved by or were exacerbated by standard cleaning processes, regardless of whether documented.
4.4 Intake Acknowledgment. By releasing Garments to PureSpace at Intake, the Client accepts the Intake Record as an accurate reflection of item condition and inventory. Disputes regarding Intake Record accuracy must be raised within 24 hours.
4.5 Right to Decline at Intake. PureSpace may decline any Garment that is wet, infested, contaminated with biological matter, presents a storage or cross-contamination risk, or is otherwise unsuitable for the program.
4.6 Items Found in Pockets. PureSpace is not responsible for and will not store or return any items found in Garment pockets, including but not limited to currency, identification, electronics, medications, or personal effects. Such items will be removed prior to cleaning and either returned to the Client at Intake or discarded if the Client is not present.
SECTION 5 — TWO-TIER LIABILITY STRUCTURE
The level of protection you receive depends entirely on whether you have elected and paid for Storage Insurance Coverage. Please read this section with care.
5.1 Insured Accounts. If Storage Insurance Coverage is active on your account at the time of loss, PureSpace's liability is governed by Section 6 (Insurance Coverage) and the Coverage Limit of $10,000 applies.
5.2 Uninsured Accounts — LIMITED LIABILITY. If Storage Insurance Coverage has not been elected and is not active at the time of loss, PureSpace's total liability for any and all loss, theft, or damage to Garments — whether during cleaning, transit, or storage — is strictly limited to the greater of:
(a) $50.00 per Garment, or
(b) One (1) month's storage fee for the applicable account
This cap applies regardless of the actual value of the Garment, the circumstances of the loss, or the nature of PureSpace's conduct. PureSpace strongly recommends all Clients elect Storage Insurance Coverage.
5.3 No Retroactive Coverage. Storage Insurance Coverage cannot be added after a loss event, after Intake has occurred for a specific lot of Garments, or after the Client has become aware of a potential Claim.
5.4 Acknowledgment of Limited Liability. By proceeding without Storage Insurance Coverage, the Client expressly acknowledges that PureSpace's liability is limited as set forth in Section 5.2 and waives any claim for amounts exceeding that cap.
SECTION 6 — STORAGE INSURANCE COVERAGE
6.1 Election and Cost. Storage Insurance Coverage is available for $72.00 per month per Client account and must be elected at enrollment. The monthly fee is in addition to any storage or cleaning fees.
6.2 Coverage Provided. When active, Storage Insurance Coverage provides up to $10,000 in aggregate coverage per Client account per enrollment period for loss, theft, or damage to Garments while in PureSpace's care, custody, and control, including during the Mandatory Cleaning process and Storage Period.
6.3 Additional Coverage. Clients who require coverage in excess of $10,000 may inquire about supplemental coverage options. Supplemental coverage is subject to availability, underwriting approval, additional premium, and a separate written agreement. Supplemental coverage must be arranged prior to Intake and cannot be added retroactively.
6.4 Bailee's Insurance. PureSpace maintains Bailee's Customer Insurance (inland marine insurance) underlying this coverage, subject to all terms, conditions, exclusions, and limitations of the carrier's policy. In the event of a conflict between this Agreement and the underlying policy, the underlying policy controls with respect to coverage availability.
6.5 Declared Value Requirement. For any Garment with an estimated replacement value exceeding $250.00, the Client must declare that value at Intake in writing. Garments not declared above $250 will be capped at $250 per item in the event of a Claim, regardless of actual value.
6.6 Supporting Documentation. For Garments declared above $250, PureSpace may require original purchase receipts, appraisals, retailer invoices, or comparable documentation. Unsupported declared values may be reduced at PureSpace's discretion.
6.7 Aggregate Cap. PureSpace's total liability per Client under Storage Insurance Coverage shall not exceed the lesser of: (a) $10,000; (b) the aggregate Declared Value of affected items; or (c) the actual current replacement cost of affected items.
6.8 Cancellation of Insurance. A Client may cancel Storage Insurance Coverage with 30 days written notice. Coverage remains in effect through the final day of the paid period. Cancellation does not affect coverage for losses that occurred while coverage was active. Garments remaining in storage after coverage cancellation are subject to the Uninsured Account liability limits in Section 5.2.
6.9 Insurer Subrogation. PureSpace's insurer may exercise subrogation rights against responsible third parties in the event of a paid Claim. The Client agrees to cooperate with any such subrogation proceedings.
SECTION 7 — EXCLUDED ITEMS
7.1 The following items will not be accepted into the Vault Program. If discovered after Intake, PureSpace reserves the right to return them immediately at Client's expense without storage or coverage:
Garments or items with individual replacement value exceeding $10,000 unless supplemental coverage has been arranged in writing in advance
Fur garments or garments containing real fur trim, unless expressly approved in a separate written agreement
Leather, suede, or exotic skin garments, unless expressly approved in a separate written agreement
Wedding gowns, unless enrolled under a specific bridal storage agreement
Garments containing active mold, mildew, live insects, or biological hazards
Wet or structurally damp garments
Garments bearing chemical residue, hazardous materials, or requiring OSHA-regulated handling
Truly irreplaceable one-of-a-kind items, heirlooms, or couture pieces for which monetary compensation would be inadequate
Items with missing or entirely illegible Care Labels on which PureSpace cannot safely make a cleaning determination
Non-clothing items including footwear, handbags, luggage, jewelry, watches, electronics, or accessories
Garments with embedded electronics, heating elements, or battery-powered components
7.2 PureSpace accepts no liability for any Excluded Item accepted in error. The Client bears the sole risk of loss for Excluded Items.
SECTION 8 — STORAGE CONDITIONS
8.1 Facility Standards. PureSpace stores Garments in a secure, climate-appropriate facility using commercially reasonable practices for professional textile storage.
8.2 No Guarantee of Specific Parameters. PureSpace does not warrant specific temperature or humidity ranges and is not liable for natural fiber degradation or material deterioration that may occur over extended storage periods consistent with the Garment's age and material composition.
8.3 Long-Term Storage. Garments stored for periods exceeding six months may experience natural material changes including but not limited to elastic degradation, yellowing, and fiber softening. These are characteristics of long-term textile storage and are not grounds for a Claim where PureSpace has maintained commercially reasonable conditions.
8.4 Pest Prevention. PureSpace employs commercially reasonable pest prevention measures. PureSpace is not liable for pest damage where such measures were in place and properly maintained.
8.5 Commingling. Garments may be stored in proximity to other clients' items. PureSpace will take reasonable precautions against cross-contamination but is not liable for damage from another client's Garments where PureSpace took reasonable precautions.
8.6 Force Majeure. PureSpace is not liable for loss or damage caused by events beyond its reasonable control, including fire, flood, hurricane, earthquake, acts of God, power failure, civil unrest, or government action, provided PureSpace employed commercially reasonable preventive measures.
SECTION 9 — RETURN AND REDELIVERY
9.1 Condition at Return. PureSpace will return Garments in substantially the same condition as documented in the post-cleaning Intake Record.
9.2 Return Scheduling. Return requests require a minimum of 48 hours advance notice through PureSpace's designated scheduling channel.
9.3 Client Inspection Window. The Client must inspect all returned Garments and report any damage, loss, or discrepancy in writing to PureSpace within 48 hours of Return. Failure to report within this window creates a rebuttable presumption that Garments were returned in acceptable condition and may result in Claim denial.
9.4 Signature at Return. Client signature or electronic confirmation of Return constitutes acceptance of condition as returned, unless written objection is filed simultaneously.
9.5 Unclaimed Garments. Garments not retrieved within 30 days of storage period end or after two failed delivery attempts will be treated as unclaimed. PureSpace will issue written notice to the address of record. If unclaimed for an additional 30 days following that notice, Garments may be treated as abandoned property under applicable New York law. Any outstanding fees must be paid prior to retrieval.
SECTION 10 — CLAIMS PROCESS
10.1 Eligibility. Claims may only be submitted by Clients with active Storage Insurance Coverage at the time of loss. Uninsured Accounts are subject to the limited liability caps in Section 5.2 and no formal Claims process is available beyond written notice to PureSpace.
10.2 Notice Deadline. Insured Clients must submit written Claim notice to PureSpace within 48 hours of discovering the loss or damage and no later than 5 business days after Return. Claims submitted outside this window will not be considered.
10.3 Required Claim Documentation:
Description of the damaged or lost item(s)
Declared Value at Intake and supporting documentation
Photographs of damage where applicable
Reference to the applicable Intake Record
Police report if loss involves theft or criminal activity
10.4 Investigation. PureSpace will investigate all Claims in good faith and respond within 15 business days of receiving a complete submission. PureSpace may conduct a physical inspection of damaged items.
10.5 Valuation. Claims are valued at the lesser of: (a) the Declared Value; (b) actual replacement cost at current market prices; or (c) the applicable Coverage Limit. Reasonable depreciation based on age and condition at Intake may be applied.
10.6 Claim Denial Grounds. Claims may be denied where: damage is attributable to pre-existing condition; the item is an Excluded Item; the Client failed to comply with this Agreement; loss is attributable to force majeure; the Client failed to disclose material information at Intake; or supporting documentation is insufficient.
10.7 Fraud. Submitting a fraudulent Claim, inflating Declared Values, or misrepresenting Garment condition constitutes a material breach of this Agreement and grounds for immediate account termination, denial of all Claims, and referral to appropriate authorities.
10.8 Exclusive Remedy. The Claims process in this Section is the Client's exclusive remedy for Garment loss or damage. No action may be brought against PureSpace in any other forum except as provided in Section 14.
SECTION 11 — LIMITATION OF LIABILITY
11.1 Insured Cap. PureSpace's total liability to any Insured Account for all Claims shall not exceed $10,000 per enrollment period.
11.2 Uninsured Cap. PureSpace's total liability to any Uninsured Account shall not exceed the greater of $50 per Garment or one month's storage fee for the account, as described in Section 5.2.
11.3 No Consequential Damages. Under no circumstances shall PureSpace be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost use, emotional distress, or lost profits.
11.4 No Sentimental Value. PureSpace expressly disclaims liability for sentimental, personal, heirloom, or irreplaceable value of any Garment. Clients with irreplaceable items should not enroll those items in the Vault Program.
11.5 Third-Party Damage. PureSpace is not liable for damage caused by third parties except where PureSpace failed to exercise reasonable care in selecting or supervising such third parties.
SECTION 12 — FEES AND PAYMENT
12.1 Fee Structure. Vault Program fees include separate charges for cleaning, storage, and, if elected, Storage Insurance Coverage. All applicable fees are set forth in the Client's enrollment documentation or service agreement.
12.2 Insurance Fee. Storage Insurance Coverage is billed at $72.00 per month, billed in advance. Non-payment of the insurance premium constitutes cancellation of coverage effective the last paid date.
12.3 Late Fees. Past-due balances are subject to a late fee of 1.5% per month or the maximum permitted by applicable law.
12.4 Possessory Lien. PureSpace retains a possessory lien over all stored Garments for unpaid amounts owed under this Agreement, including storage fees, cleaning fees, and insurance premiums. PureSpace may exercise its lien rights in accordance with New York law.
12.5 Suspension for Non-Payment. PureSpace may suspend Return services for accounts with balances more than 30 days past due. Garments will not be released until all outstanding amounts are paid in full.
12.6 Fee Changes. PureSpace may modify fees with 30 days written notice. Continued use after notice constitutes acceptance.
SECTION 13 — CLIENT REPRESENTATIONS AND WARRANTIES
By enrolling and submitting Garments at Intake, the Client represents and warrants that:
All Garments submitted are owned by the Client or the Client has authority to submit them
All Declared Values are accurate and honestly stated
No Excluded Items have been knowingly submitted
All pre-existing conditions and cleaning sensitivities have been disclosed
No Garments have been submitted for fraudulent, deceptive, or unlawful purposes
The Client is at least 18 years of age, or if a business, is validly organized and authorized to enter this Agreement
The Client understands and accepts the two-tier liability structure and has made a knowing election regarding Storage Insurance Coverage
SECTION 14 — TERMINATION
14.1 By Client. The Client may terminate with written notice. All Garments must be retrieved within 15 business days and all outstanding fees paid before release.
14.2 By PureSpace. PureSpace may terminate with 14 days notice, or immediately for: non-payment more than 30 days past due; submission of fraudulent Claims; submission of prohibited or hazardous Garments; or material breach.
14.3 Survival. Sections 5, 6, 10, 11, 15, and 16 survive termination.
SECTION 15 — DISPUTE RESOLUTION
15.1 Informal Resolution First. The Client must provide written notice of any dispute and allow PureSpace 20 business days to attempt informal resolution before initiating formal proceedings.
15.2 Binding Arbitration. Unresolved disputes shall be submitted to binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in New York, New York.
15.3 Class Action Waiver. The Client waives all rights to participate in class action litigation or class-wide arbitration against PureSpace. All disputes are individual only.
15.4 Small Claims Exception. Either party may bring an individual Claim in small claims court within that court's jurisdictional limits.
15.5 Governing Law. This Agreement is governed by the laws of the State of New York, without regard to conflict of law principles.
SECTION 16 — PRIVACY AND DATA
16.1 AAO Hospitality, Inc. collects Client information including identity, billing, contact, and item records to operate the Vault Program.
16.2 Client data will not be sold. It may be shared with service providers necessary to deliver the program (logistics, insurance carriers, payment processors) and as required by law.
16.3 Intake and condition photographs are retained for Claim adjudication and not used for marketing without written consent.
16.4 Records are retained for a minimum of 3 years following the end of each Storage Period.
SECTION 17 — GENERAL PROVISIONS
17.1 Entity. AAO Hospitality, Inc. is a New York corporation. "PureSpace" and "Vault by PureSpace" are trade names of AAO Hospitality, Inc.
17.2 Entire Agreement. This Agreement, together with any enrollment documentation, constitutes the full agreement between the parties and supersedes all prior communications.
17.3 Amendments. PureSpace may amend this Agreement with 30 days written notice. Continued use constitutes acceptance.
17.4 Severability. Invalid provisions do not affect the remainder of this Agreement.
17.5 No Waiver. Failure to enforce any provision is not a waiver of future enforcement rights.
17.6 Assignment. PureSpace may assign this Agreement to any successor without consent. The Client may not assign without written PureSpace approval.
17.7 Notices. Notices to PureSpace should be directed to its principal business address. Notices to the Client go to the address of record.
ACKNOWLEDGMENT
By enrolling in Vault by PureSpace, scheduling pickup, or permitting PureSpace to take possession of your Garments, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions, including the two-tier liability structure and the mandatory cleaning requirement.
